Terms and conditions of sale
The company LGD DENTAL, representing the registered trademark CLICNLOC , is aimed exclusively at practicing dentists and professional dental structures.
Any order form for supplies implies the Customer’s full and unreserved acceptance of the General Terms and Conditions below.
2 DELIVERY
2.1 OBJECT CLICNLOC reserves the right to make any changes it deems necessary to its products or deletions at any time and, without obligation to modify the products delivered or in the course of an order form, it reserves the right to modify the products defined in the prospectuses or catalogs without prior notice.
2.2 METHOD OF DELIVERY Delivery is made either by direct handover of the product to the purchaser, or by simple notice of availability, or by delivery to a shipper or carrier on the premises of LGD DENTAL. Deliveries are only made subject to availability and in the order of arrival of order forms. LGD DENTAL is authorized to make deliveries in whole or in part. LGD DENTAL cannot be held responsible for partial deliveries due to stock shortages or temporary or permanent unavailability due to a manufacturer’s failure. In this case, LGD DENTAL will annotate a message on the invoice and will return the missing product at a later date free of charge in Metropolitan France excluding Corsica (subject to the product being discontinued).
2.3 DELIVERY TIMES Delivery times are indicated as accurately as possible but are subject to availability of supplies and transport service providers. It is therefore understood that the delivery times shown on the site are average delivery times and not final delivery times.
Exceeding the delivery date may not give rise to damages, deductions or cancellation of orders in progress. However, if 6 months after the indicative delivery date the product has not been delivered, for any reason other than force majeure, the sale may be cancelled at the request of either party; the purchaser may obtain restitution of his deposit to the exclusion of any other indemnity or damages. LGD DENTAL shall be released from its obligation to deliver in the following cases of force majeure: war, riot, fire, strikes, accidents, and LGD DENTAL’s own inability to obtain supplies. LGD DENTAL will inform the purchaser in good time of the cases and events listed above. In any event, on-time delivery can only be made if the purchaser is up to date with his obligations towards LGD DENTAL, whatever the cause.
2.4 RISKS Products can be delivered with or without cash on delivery to the agreed location. In all cases, they travel at the risk and peril of the consignee, who is responsible, in the event of damage or shortage, for making all necessary observations and confirming his reservations by extrajudicial document or by registered letter with acknowledgement of receipt to the carrier, within THREE (3) days of receipt of the goods.
3 SHIPPING COSTS
3.1 FRANCE MÉTROPOLITAINE-Free delivery from 250 €TTC. – A charge of €15 inc. VAT will be applied to all orders under €250 inc. All COD shipments, regardless of the value of the purchase order, will be subject to a COD charge of 19 € inc. tax. Corsica and metropolitan islands: – Postage and packing are at the recipient’s expense (carrier rate + €13.50 inc. VAT, subject to change according to our service provider’s conditions).
3.2 DOM-TOM AND ABROAD – All orders must be placed by mail or fax. Payment for these orders can only be made by cash on delivery or by credit card. – Postage, packing, forwarding charges and insurance are at the customer’s expense. – Postal deliveries are made by priority Colissimo DOM-TOM or priority Colissimo International. Postage is invoiced according to the current rate of the French Post Office.
4 RECEIPT It is the purchaser’s responsibility to take delivery of the goods using the carrier’s delivery note, and to indicate the number of packages received, as well as any necessary reservations based on the condition of the packages and products received. In the absence of express reservations by the purchaser at the time of delivery, the products delivered will be deemed to conform in quantity and quality to the order. Without prejudice to the measures to be taken with regard to the carrier, complaints concerning apparent defects or the non-conformity of the product delivered with the product ordered or with the dispatch note, must be made in writing by registered letter with acknowledgement of receipt within FORTY-EIGHT (48) hours of the date of delivery of the products. It is the purchaser’s responsibility to provide any justification as to the reality of the defects or anomalies observed. The purchaser must allow LGD DENTAL every opportunity to observe and remedy the defects. The purchaser shall refrain from intervening himself or having a third party intervene for this purpose.
5 RETURNS All returns must be formally agreed between LGD DENTAL and the purchaser. Any product returned will be subject to a penalty of 30% of the sales price, including VAT, of the price established at the time of sale. The cost of returning products is borne exclusively by the customer. Returned goods must be accompanied by a return slip to be attached to the parcel, and must be in the condition in which they were delivered by the supplier. Return costs and risks are always at the purchaser’s expense. No returns will be accepted after 8 days from the date of delivery. Returned products must be in their original condition, accompanied by a photocopy of the invoice and the reason for return or exchange.
6 RESERVATION OF OWNERSHIP The goods covered by this contract are sold with a clause expressly subordinating SAS LGD DENTAL – Immeuble Le Synthesis II – 423 Rue Jean Dausset – 84000 Avignon – France to the ownership of the goods.
The transfer of their ownership upon full payment of the price in principal and accessories. It is understood, however, that the mere delivery of a bill of exchange or other instrument creating an obligation to pay does not constitute payment within the meaning of the present clause, the seller’s original claim on the buyer subsisting with all the guarantees attached thereto, including the retention of title until the said bill of exchange has actually been paid. The above provisions do not preclude the transfer to the buyer of the risk of loss or deterioration of the goods subject to retention of title, or of any damage they may cause, upon delivery of the goods. The purchaser must take out insurance to cover the risks arising upon delivery of the goods. As long as the price has not been paid in full, the purchaser must individualize the goods delivered under this contract and not mix them with other goods of the same nature from other suppliers. If the goods are not segregated, LGD DENTAL may demand reimbursement or take back any goods still in stock. In the event of seizure or any other intervention by a third party on the goods, the purchaser must inform LGD DENTAL without delay in order to enable it to oppose the seizure and preserve its rights. The purchaser shall also refrain from pledging or assigning ownership of the goods by way of security.
LGD DENTAL cannot be held responsible for any misrepresentation by a non-dental client.
7 INVOICING The invoice is attached to the parcel or by e-mail and serves as a delivery note. Payment must be made by credit card. Penalties of one and a half times the legal interest rate, plus a surcharge for collection costs, will be applied to any unpaid amount. LGD DENTAL does not grant cash discounts.
8 PRICES The prices indicated on the Internet are guaranteed until the appearance of a new price list, which replaces and cancels all previous ones. All prices are inclusive of tax, and the price maintenance guarantee applies only to prices exclusive of tax. Nevertheless, LGD DENTAL reserves the right to pass on, without prior notice, any significant increases in the price of foreign currencies or precious metals, or in supplier prices, to the prices of imported products. However, any tax, duty or other charge payable under French regulations, or those of an importing or transit country, shall be borne by the purchaser.
9 GUARANTEES
9.1 PRODUCT USE WARRANTY For all warranties related to new peripheral materials or small equipment, LGD DENTAL applies the duration of manufacturers’ warranties, exclusively to manufacturing defects. LGD DENTAL cannot be held responsible for any direct or indirect consequences arising from the use of its dental products. The company presenting the CLICNLOC brand reserves the right to discontinue or modify its selection of dental products and supplies without notice.
9.2 CADEAUX LGD DENTAL may, inthe case of special tied sales offers, replace the item offered with an equivalent item if the item not usually sold is out of stock. In accordance with article L365-1 of the French Public Health Code, dentists are prohibited from receiving gifts on products reimbursed by the French Social Security system. As a result, radiology film and anesthesia products and their sales figures are not eligible for any gifts.
9.3 TYPOGRAPHICAL ERRORS – PHOTOS LGD DENTAL cannot be held responsible for typographical errors that may appear in paper and internet catalogs and in all offers and communications sent to practitioners. It reserves the right to correct them. Catalog photos and promotional offers have no contractual value. RIGHT OF ACCESS In accordance with the law (art. 34 of the French Data Protection Act of January 6, 1978), customers have the right to access, modify, rectify and delete data concerning them.
10.DISPUTES In the event of a dispute, the AVIGNON Commercial Court shall have sole jurisdiction (this applies to customers and suppliers).
11. INFORMATION COLLECTION New RGPD standards
